These Terms of Service (“Terms”) are issued by Elite Digital Services, LLC, a Delaware Limited Liability Company, with its registered office at 1111B S Governors Ave, STE 21653, Dover, DE 19904, USA (hereinafter referred to as “Verteco,” “we,” “us,” or “our”). These Terms govern your access to and use of our services, including, but not limited to, the Verteco.shop Comparison Shopping Service (CSS) program, our website, tools, and any other features provided by us (collectively referred to as the “Services”).

By accessing or using our Services, you (“you,” “your,” or “Customer”) acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use our Services.

Verteco.shop provides a specialized Comparison Shopping Service (CSS) designed to optimize the effectiveness of Google Shopping Ads. Leveraging a legal framework, our CSS enables advertisers to potentially achieve up to a 20% reduction in advertising costs by transitioning from Google’s default CSS to our platform. This transition facilitates more cost-effective advertising through enhanced cost-per-click (CPC) rates. We offer a simple, risk-free trial that maintains your existing campaign settings, ensuring both data security and ease of continued advertising success.

1. Acceptance of Terms

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must refrain from accessing or using our Services.

2. Eligibility

You must be at least 18 years of age to access or use our Services. By accessing or using our Services, you represent and warrant that you are at least 18 years old and that you are using our Services solely for entrepreneurial, business, or professional purposes. Our Services are intended exclusively for individuals or entities engaging in business activities. If you do not meet these requirements, you are prohibited from using our Services.

3. Account Registration

To access certain features of our Services, you may be required to create an account. You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account. You agree to promptly notify us of any unauthorized access or use of your account, or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with this security obligation.

4. Free Trial

We offer a 30-day free trial for our CSS program, during which no credit card or payment information is required. Upon the expiration of the trial period, continued access to our Services will require you to select a pricing plan and provide valid payment information. Failure to do so will result in the suspension of your access to the Services. By continuing to use our Services after the expiration of the free trial period, you agree to select and subscribe to a paid service plan, and you acknowledge that you are obligated to fulfill the payment terms associated with the chosen plan.

5. Pricing and Payment

Our pricing plans are available on our website, offering various options tailored to meet different needs. Payments are due either on a monthly or yearly basis, depending on the plan you select. In accordance with individual communications and subject to our discretion, we reserve the right to extend offers of discounts, bonuses, or other promotional incentives. Such offers may be provided on a case-by-case basis and do not constitute an obligation on our part to extend similar terms to any other customer or at any other time. These discounts and bonuses are provided solely at our discretion and may be subject to additional terms and conditions as specified at the time of the offer.  All fees are non-refundable, except where required by applicable law.

Payment obligations for our Services commence 30 days after the date on which your Merchant Center (MC) switch to verteco.shop Comparison Shopping Service (CSS) is accepted. This means that you will begin to incur charges for the Services starting 30 days from the acceptance date of the MC switch to our CSS platform. The payment period will continue uninterrupted until your Merchant Center is officially disconnected from verteco.shop CSS.

You are responsible for ensuring the disconnection process is completed if you choose to terminate the Services. Failure to properly disconnect your Merchant Center from our CSS will result in continued billing, and you will remain liable for all charges incurred until the disconnection is finalized.

All payments are due in accordance with the billing cycle of the pricing plan you have selected, whether monthly or yearly. Invoices will be issued accordingly, and full payment must be received by the due date specified on the invoice to avoid any interruption or suspension of Services. Late payments may result in additional fees or interest charges as permitted by law, and persistent failure to make timely payments may lead to termination of your access to the Services.

It is important to note that while we provide the platform for the CSS, we do not have access to your Google Ads or Google Merchant Center accounts. As such, you are solely responsible for managing these accounts, including initiating and confirming any disconnections from our CSS platform.

By continuing to use our Services after the initial 30-day period following the MC switch acceptance, you acknowledge and agree to these payment terms. You understand that payment is due as specified herein and that you are obligated to fulfill all payment responsibilities until such time as the Services are properly terminated in accordance with these Terms.

For the avoidance of doubt, while Elite Digital Services, LLC is the primary entity responsible for the provision of Services under these Terms, certain Services may be invoiced by our affiliates or subsidiaries, both within and outside the United States, as deemed necessary for operational efficiency. Notwithstanding any such invoicing arrangements, Elite Digital Services, LLC remains the principal entity with respect to the overall execution of Services and compliance with these Terms.

By agreeing to these Terms, you consent to the possibility that invoices may be issued by entities other than Elite Digital Services, LLC, without affecting your obligations under these Terms. All invoicing entities will be authorized by Elite Digital Services, LLC and will act on its behalf in connection with the Services provided.

6. Changes to Services and Terms

We reserve the right to modify our Services or these Terms at any time, at our sole discretion. In the event of any material changes to these Terms, we will notify you by posting the updated Terms on our website or by other appropriate means of communication. Your continued use of our Services following the notification of such changes constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must discontinue your use of the Services immediately.

7. Termination

Either party may terminate this Agreement at any time, for any reason, by providing written notice to the other party. Upon termination, you must immediately discontinue all use of our Services, and we will promptly disable your access to our platform. Termination of this Agreement does not release either party from any obligations or liabilities that have accrued prior to the date of termination.

8. Intellectual Property

All content, trademarks, and other intellectual property associated with our Services are the exclusive property of Verteco digital services or its licensors. You are prohibited from using, modifying, reproducing, distributing, or otherwise exploiting any of our intellectual property without obtaining our prior written consent. Unauthorized use of our intellectual property may result in legal action.

9. Disclaimers and Limitation of Liability

By using our Services, you acknowledge and agree that we do not have access to your Google Ads or Google Merchant Center accounts. As such, you are solely responsible for your actions, decisions, and any errors or omissions within these accounts. This includes any potential damages, such as loss of profits, data, or goodwill. While we are committed to providing high-quality services, you understand that we cannot be held liable for issues that arise from your actions or any circumstances beyond our control. You are expected to manage your accounts competently, knowing that we will not be intervening or accessing them on your behalf.

10. Governing Law and Jurisdiction

These Terms are governed by the applicable laws, and we are committed to adhering to them. Any disputes arising out of or related to these Terms or your use of our Services shall be exclusively resolved in the courts located within the jurisdiction of the service provider’s principal place of business. By using our Services, you agree to submit to the jurisdiction of these courts for the resolution of any such disputes.

11. Severability

If any part of these Terms turns out to be unenforceable or invalid, that specific part will be adjusted or removed as little as possible, so the rest of the Terms will continue to be fully effective and enforceable.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Verteco concerning your use of our Services, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Verteco.
